Terms of Use

1. Information, not advice

Bywell provides general information and education only. It is not investment, financial, tax or legal advice, and it is not a recommendation to buy, sell or hold any security. Kunolu is not a broker, dealer, investment adviser or portfolio manager, and is not registered as one with the SEC, FINRA, any Canadian securities regulator or CIRO. Bywell doesn't execute trades or hold your money. You make your own decisions and are responsible for them. Investing involves risk, including loss of the money you invest; past performance doesn't predict future results. Consider speaking with a registered professional before acting.

2. Data and AI content

News, prices, earnings, fundamentals and other market data come from third parties and may be delayed, incomplete or wrong. AI-generated summaries and answers (from Bywell AI or from an assistant using the Bywell connector) can contain mistakes. Check important information against the original source, which we link where we can. We don't guarantee the accuracy, completeness or timeliness of any content, and you shouldn't rely on it as the sole basis for any decision.

3. Your account

You must be 18 or older (or the age of majority where you live) and give accurate information. You're responsible for activity on your account and for keeping your sign-in secure. When you connect a brokerage, you authorize us and SnapTrade to access that account read-only on your behalf, and you confirm you're allowed to. You can disconnect it or delete your account at any time.

4. Subscriptions, trials and billing

• Bywell has a free plan and a paid Pro plan, billed monthly or yearly at the price shown before you buy, plus applicable taxes.
• Free trial. New Pro subscribers may get a free trial (currently 1 month), once per person. Unless you cancel at least 24 hours before the trial ends, your subscription starts and you're charged the price shown.
• Automatic renewal. Subscriptions renew automatically at the end of each period at the then-current price until you cancel. We'll tell you in advance of any price increase.
• Cancelling. For purchases in the iOS app, manage or cancel in your Apple ID settings; on Android, in Google Play. For purchases on the web or through a connector, cancel from your Bywell account page (billing is handled by Stripe). Cancelling stops future renewals; you keep Pro until the end of the period you've paid for.
• Refunds. App Store and Google Play refunds are handled by Apple and Google under their policies. For web purchases, payments are non-refundable except where the law requires otherwise; contact support@bywell.org if something went wrong.
• Prepaid AI usage. Bywell AI usage top-ups don't expire, can't be transferred or cashed out, are non-refundable except where required by law or by Apple's or Google's policies, and are lost if your account is deleted.
• Promotions and complimentary access are subject to the terms shown with them and have no cash value.

5. Acceptable use

Don't misuse Bywell: don't break the law, interfere with or overload the service, try to access other people's data, reverse engineer it except where the law allows, scrape or resell its content or data, or use it to build a competing data product. We may suspend or close accounts that do.

6. Licence and ownership

We grant you a personal, non-exclusive, non-transferable, revocable licence to use Bywell for your own non-commercial purposes under these terms. Bywell, its content and its brand belong to Kunolu and its licensors. Your notes, theses and other content stay yours; you give us permission to store and process them only to provide Bywell to you. If you send us feedback, we can use it without owing you anything.

7. Third-party services

Bywell relies on services we don't control, including brokerages, SnapTrade, data providers, AI assistants and app stores. Their terms apply to your use of them, and we aren't responsible for them or for their availability.

8. Apple and Google app terms

If you got the app from Apple's App Store: these terms are between you and Kunolu only, not Apple, and Kunolu, not Apple, is responsible for the app and its content. Apple has no obligation to provide maintenance or support. If the app fails to meet an applicable warranty, you may notify Apple, which will refund the purchase price (if any); to the maximum extent the law allows, Apple has no other warranty obligation. Apple isn't responsible for any claims relating to the app, including product liability, legal or regulatory compliance, or consumer protection claims, or for investigating or defending any third-party claim that the app infringes intellectual property, which Kunolu will handle. You confirm you're not in a country subject to a US government embargo or designated as "terrorist supporting," and you're not on any US government list of prohibited or restricted parties. You must also follow any applicable third-party terms (for example your wireless carrier's). Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. Where these terms conflict with Apple's Licensed Application End User License Agreement, these terms apply except for the Apple-required terms in this section. If you got the app from Google Play, Google Play's terms also apply.

9. Disclaimers

Bywell is provided "as is" and "as available". To the maximum extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we don't promise that Bywell will be uninterrupted or error-free. Some places don't allow these exclusions, so some may not apply to you.

10. Limitation of liability

To the maximum extent the law allows, Kunolu and its directors, employees and suppliers aren't liable for any indirect, incidental, special, consequential or punitive damages, or for any investment losses or lost profits, arising from your use of Bywell or reliance on its content. Our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim or CA$100. Nothing here limits liability that can't be limited by law, or your rights as a consumer under the law where you live.

11. Indemnity

You agree to cover our reasonable costs if a claim against us arises from your breach of these terms or misuse of Bywell, except to the extent the law doesn't allow this.

12. Ending the agreement

You can stop using Bywell and delete your account at any time. We can suspend or end your access if you breach these terms or if we stop offering Bywell, and we'll give you notice where reasonable. Sections 1, 2, 6 and 9 to 13 survive.

13. General

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there, and disputes go to the courts of Toronto, Ontario, unless the consumer protection law where you live gives you the right to bring a claim locally. If any part of these terms is unenforceable, the rest still applies. We may update these terms; if a change is material we'll tell you in the app or by email before it takes effect, and continuing to use Bywell means you accept it.
